These Terms and Conditions ("Terms") govern your access to and use of the Joiyn.ai platform, website, and related services (collectively, the "Service") provided by Joiyn AI Inc. ("Company", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
These Terms apply to all users of the Service, including agency account holders, team members, and any other individuals who access the Service on behalf of a registered agency.
Joiyn.ai is a client access onboarding platform that enables digital marketing agencies to request and receive permission-based access to their clients' marketing and advertising accounts on third-party platforms including, but not limited to, Meta (Facebook, Instagram), Google (Ads, Analytics, Search Console, Tag Manager, Merchant Center, Business Profile), TikTok, and others as added over time.
The Service facilitates the OAuth-based authorisation flow between your clients and third-party platforms. Joiyn.ai does not store, modify, or act on client account data beyond what is necessary to complete the access grant.
To use the Service, you must register an agency account and provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You agree to:
Provide truthful and accurate information during registration and at all times.
Notify us immediately of any unauthorised access to your account.
Ensure that team members added to your account accept and comply with these Terms.
Not share your account credentials with individuals outside your organisation.
Access to the Service is provided on a subscription basis. Subscription fees are billed in advance, either monthly or annually depending on the plan selected. All fees are non-refundable unless stated otherwise in writing or required by applicable law.
We reserve the right to change our pricing at any time. You will be given reasonable advance notice of any price changes. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
Failure to pay fees may result in suspension or termination of your account. Disputed charges must be raised within 30 days of the invoice date.
We may offer a free trial period for new accounts. At the end of the trial, your account will automatically convert to a paid subscription unless you cancel before the trial ends. No charge is made during the trial period. We reserve the right to modify or discontinue trial offers at any time.
You agree not to use the Service to:
Obtain unauthorised access to third-party accounts or misrepresent your relationship with a client.
Violate any applicable law, regulation, or third-party terms of service.
Engage in any fraudulent, deceptive, or abusive activity toward clients or third parties.
Reverse-engineer, decompile, or attempt to extract source code from the Service.
Use automated bots, scrapers, or tools to interact with the Service outside of authorised API access.
Resell or sublicense access to the Service without our prior written consent.
Joiyn.ai integrates with third-party platforms such as Meta and Google. Your use of the Service is also subject to the terms and policies of those platforms. We are not responsible for any changes to third-party APIs, permissions models, or policies that may affect the Service's functionality.
Access granted through Joiyn.ai is direct platform access provisioned by the client. Once granted, that access exists independently of your Joiyn subscription. Cancelling your Joiyn subscription does not revoke existing platform access — only your client or the third-party platform can revoke that access.
All content, software, design, trademarks, and intellectual property associated with the Service are owned by or licensed to Joiyn AI. You are granted a limited, non-exclusive, non-transferable licence to use the Service solely as permitted by these Terms.
You retain all rights to your own data and content uploaded to the Service. By using the Service, you grant us a limited licence to process that data solely to provide the Service to you.
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We take data security seriously. All OAuth tokens are encrypted at rest using AES-256-GCM encryption. We do not store client passwords or unencrypted credentials.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or harmful components. We do not guarantee that third-party platforms will continue to function or allow access grants facilitated through the Service.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JOIYN AI, ITS DIRECTORS, EMPLOYEES, PARTNERS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
You agree to indemnify, defend, and hold harmless Joiyn AI and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any third-party right.
You may terminate your account at any time by cancelling your subscription through the account settings or by contacting us at [email protected]. Termination takes effect at the end of the current billing period.
We reserve the right to suspend or terminate your account immediately, without notice, if you breach these Terms, engage in fraudulent activity, or use the Service in a manner harmful to other users or third parties.
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page and, where the changes are material, notify you by email or via an in-app notification. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms.
These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, where Joiyn AI Inc. is registered, without regard to conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of that jurisdiction.
